AADS GLOSSARY
NAME AVAILABILITY
Search of a Business Database or phone call to the SOS to check to see if a proposed name is available for use or already exist in that state/jurisdiction
NAME RESERVATION
A name can be reserved for a period of time in many states its 60-90 days so your name is available when you are ready to file a formation or qualification
NAME REGISTRATION
Any business that doesn’t use its legal name (the official name of the person or entity that owns the business) as part of its business name must comply with fictitious or assumed business name requirements. This means registering the name with a government agency — sometimes the state, but usually your county clerk’s office.
ENTITY STATUS CHECK
Checking in the state or County to check to see if an entity is in Good Standing (meaning they have paid their taxes and file their annual report)
CERTIFIED COPIES
Certification marks are used only to certify that products and services that are manufactured are stamped with the state agencies stamp declaring it’s an original copy from the state of the document produced.
CERTIFICATE OF GOOD STANDING
A certificate issued by a proper authority in a jurisdiction, verifies that a corporation actually exists, has paid all its statutory dues, has met all filing requirements and, therefore, is authorized to transact business in that state. Also called certificate of authorization or certificate of existence.
TAX STATUS CERTIFICATES
An official document provided by the state that states a tax entity’s standing is current and free of liens.
TAX CLEARANCE
An official confirmation provided by the IRS that a tax entity’s standing is current and free of liens. Certificates are required of people seeking state contracts, grants or licenses but can be requested by any person or corporation that needs verification that their tax affairs are in order.
PUBLICATION
Essentially, it is a notice to the community of the formation of the company, the address of the company and upon whom notice of a lawsuit should be served.
ANNUAL REPORT FILINGS
An annual report is a comprehensive report on a company’s activities throughout the preceding year. Annual reports are intended to give shareholders and other interested people information about the company’s activities and financial performance. Each state requires some kind of annual report to be filed yearly or biannually
CORPORATE KIT
Is a corporate minute book and a file or binder where you will keep important corporate documents such as your certificate of incorporation, bylaws, shareholder information and resolutions.
REGISTERED AGENT
A registered agent is a person or business nominated by your company to officially send and receive legal papers on your behalf. These papers can include service of process of legal action and state filings, such as annual reports. In some states, a registered agent is also called a statutory or resident agent, or an agent of service of process.
CONTRACT AGENCY REPRESENTATION
Representation in the capacity of acting as agent for service of process for a special agreement contract; we can act on the behalf of any party in the agreement. Our only capacity in regards to the agreement is to provide an address for Service of Process.

According to Federal Law, every business in U.S. is responsible for ensuring that they do not conduct business with any individual or entity that is listed on the Office of Foreign Asset Control’s Specially Designated Nationals (SDN) list. The U.S. Patriot Act search will help prevent you from violating this federal Law.
